Lemric Service Terms

1. Provider and business scope
The service is provided by Lemric Dominik Łabudziński, a sole trader with the address Weteranów 74/3, 05 250 Radzymin, Poland, Polish tax identification number 5272448444 and statistical number 141491900, referred to as Lemric.
These Terms apply only to agreements with businesses and other organisations acting for purposes connected with their professional activity. The customer is the organisation that creates a workspace, places an order or otherwise enters into an agreement for the service, referred to as the Customer.
2. Service
Lemric provides an online help centre and service desk at lemric.com. Depending on the selected configuration, the service supports a customer portal, requests, queues, forms, workflows, service levels, automation, audit records and integrations such as Jira and customer configured webhooks.
The exact subscription scope, price and billing period follow from the order, price list or subscription confirmation. A service level commitment applies only when expressly included in an order.
3. Technical conditions
Use requires an internet connection, a current browser that supports encrypted HTTPS connections and an active electronic mail address. Some functions require JavaScript, cookies or local browser storage. Integrations require access credentials and configuration for the relevant external system.
The Customer must protect devices, accounts and credentials against unauthorised access. Lemric may publish reasonable technical limits needed for security and stable operation.
4. Accounts and permissions
An authorised representative concludes the agreement for the Customer. The Customer assigns administrators, staff roles and customer access, keeps account details current and promptly removes access that is no longer required.
Each person must use their own account. The Customer is responsible for actions taken through accounts under its control unless the action results from circumstances for which Lemric is responsible. Suspected compromise must be reported without undue delay to legal@lemric.com.
5. Conclusion and duration of the agreement
The agreement is concluded when Lemric confirms an order or when an authorised person creates an organisation and accepts these Terms through the service. Before acceptance, the Customer can read and save these Terms in a form that can be reproduced without alteration.
The agreement runs for the period shown in the order or subscription. If recurring renewal is selected, it renews for the next billing period unless cancelled before renewal. A trial or free scope may be ended at any time, subject to any notice shown when it begins.
6. Fees and payment
Fees are calculated separately for each organisation under the current price list and order. Changes in the number of billable staff can affect the next billing amount. Customers and requesters who only use the portal do not count as staff unless the order states otherwise.
Lemric Dominik Łabudziński is not an active value added tax payer. Billing documents are issued without value added tax in accordance with that status. If the tax status changes, billing will follow the law and the Customer will be informed where this affects the price.
Payment is due by the date and method shown on the billing document. Lemric may restrict paid functions or suspend access after notifying the Customer of overdue payment and allowing a reasonable time to pay.
7. Customer content and lawful use
The Customer retains rights to content entered into the service and permits Lemric to process it only as needed to perform, secure and administer the agreement. The Customer is responsible for having a lawful basis to collect, publish and share that content.
The Customer must not provide unlawful content. It must not use the service to infringe rights, distribute malicious software, send unsolicited bulk messages, bypass security, conduct unapproved load tests, obtain unauthorised access or disrupt other users.
Anyone may report allegedly unlawful content by electronic mail to legal@lemric.com. A report should identify the content and its location, explain why it is unlawful and provide contact details where possible. Lemric may request clarification, preserve necessary evidence, restrict access to content or an account, remove content, and notify the Customer or author where lawful and appropriate. Measures are selected according to the nature, credibility and urgency of the report. The affected Customer may present its position through the same address.
8. Integrations
The Customer decides whether to connect Jira, webhooks or another available external service. The Customer is responsible for the destination, permissions, instructions and lawful transfer of data. Availability and operation of an integration also depend on the external provider.
9. Security, maintenance and availability
Lemric applies technical and organisational safeguards appropriate to risk, including access controls, logical organisation isolation, encrypted transmission and logging of selected operations. No online service can guarantee uninterrupted or error free operation.
Maintenance, security incidents or causes outside reasonable control may temporarily affect availability. Lemric gives advance notice of material planned work where reasonably possible and acts to restore operation without undue delay.
10. Termination and suspension
Either party may terminate an agreement of indefinite duration by giving one billing period of notice unless the order states another period. A fixed period agreement may be terminated at its end or earlier where the agreement or mandatory law allows.
Either party may terminate for a material breach that is not remedied within a reasonable period after notice. Lemric may immediately restrict access where necessary to stop an attack, unlawful activity or a serious threat to data or service stability. The restriction will be proportionate and last no longer than reasonably necessary.
After termination, data is handled under the Privacy Policy and DPA. Lemric does not promise a user operated export after termination. Any return or export must be agreed or requested before access ends.
11. Complaints
Complaints about the electronic service may be sent to legal@lemric.com. The complaint should identify the Customer, organisation, issue, relevant dates and requested outcome. Lemric may ask for information needed to investigate.
Lemric responds without undue delay, ordinarily within fourteen days after receiving a complete complaint. If more time is reasonably needed, Lemric explains the reason and gives an expected response date.
12. Confidentiality and rights
Each party protects the other party’s confidential information and uses it only to perform or enforce the agreement. This duty does not cover information that is public without breach, lawfully received from another source or required to be disclosed by law.
The service, software, documentation and Lemric marks remain protected by the rights of Lemric or their respective owners. The agreement grants only the right to use the service during its term.
13. Liability
Each party is liable under mandatory law. To the extent permitted in relations between businesses, Lemric is not liable for lost profit, lost opportunity or indirect loss, or for failures caused by the Customer, an external integration or circumstances outside reasonable control.
For all claims connected with one organisation, Lemric’s total liability is limited to the fees paid for that organisation during the twelve months before the event giving rise to the claim. This limit does not apply to deliberate harm or to liability that cannot lawfully be excluded or limited.
14. Changes to these Terms
Lemric may change these Terms because of a change in law, security requirements, technology, service scope or business conditions. The Customer will receive advance electronic notice of a material change where reasonably possible.
If a material change adversely affects the Customer, the Customer may terminate before it takes effect unless the change is required by law or addresses an urgent security risk. Continued use after the effective date means acceptance of the new Terms.
15. Law and contact
Polish law governs the agreement. Any dispute will be submitted to the court having jurisdiction for the registered place of business of Lemric, unless mandatory law requires another court.
